Cavendish advised the shareholders of ICL on the sale of ICL to Medlog.

Founded in 2001 and based in Perth, ICL is a leading provider of wharf cartage, general transport, warehousing and empty container park services with a reputation for outstanding customer service. ICL operates from sites on Rous Head, Fremantle, and Naval Base. ICL acquired the majority of the assets of Steelhaul out of administration in 2016 to enter the general transport market.

Medlog is the landside logistics business of global container shipping group Mediterranean Shipping Company (MSC). Medlog is one of the world’s most geographically diverse logistics and supply chain providers, with a presence in over 70 countries. Medlog’s assets include inland logistics platforms, warehouses, trucks, locomotives, barges, all strategically located, facilitating logistics efficiency for the benefit of its customers.

The acquisition of ICL marks Medlog’s first acquisition in Australia. The combination of Medlog’s global customer base and breadth of capability with ICL’s local service offering presents an opportunity for significant growth.

Sale of Rocke Brothers

Cavendish advised PGA Group, a Melbourne-based family office with in excess of A$1 billion under management, on the sale of Rocke Brothers to Silk Contract Logistics.

Founded in 2003 and based in Melbourne, Rocke Brothers is a leading wharf cartage, warehousing and logistics provider. Rocke achieved strong growth over more than 15 years underpinned by a reputation for customer service and value for money.

Silk Contract Logistics is one of Australia's largest independent third-party logistics providers, offering warehousing, wharf cartage, distribution and related logistics services.

In combination with Silk's existing business the acquisition of Rocke Brothers results in a leading position in Melbourne wharf cartage and a substantial customer base to support and cross-sell across Silk's national footprint.

Cavendish advised Chevron Australia Downstream (Chevron) on the divestment of its Northern Territory and Northern Western Australian downstream assets to the Peregrine Corporation.

OTR acquired Chevron's Puma branded service stations in the Northern Territory and Mogas Regional, which is owned and operated by OTR’s parent company Peregrine Corporation, has acquired Directhaul Pty Ltd, a related commercial supply and haulage business assets. Mogas Regional will own and manage Directhaul and work closely with Chevron Australia Downstream to distribute its products to customers in the Northern Territory.

Capital raising for Hickory Data Centres

Advised leading Australian commercial real estate developer Hickory on a capital raise to fund the development of its data centre business, Hickory Data Centres. This culminated in Hickory’s partnership with STACK Infrastructure to develop data centers in Australia servicing the hyperscaler customer base including an initial 124MW of capacity across Melbourne, Canberra and Perth.

Sale of Integrated Container Logistics

Cavendish advised OSD Limited, a Brisbane-based engineering services business, on its merger with ASX-listed LogiCamms (ASX: LCM).

Under the terms of the transaction, OSD shareholders were issued new LogiCamms shares that, at completion represented 59% of the LogiCamms issued shares.

The combination of OSD and LogiCamms created a larger, more capable and more competitive multidiscipline engineering, project delivery, technology, asset performance, operations and training service provider with 550 employees operating across Australia, New Zealand, the Pacific and PNG. The merger offered the potential for in excess of $3 million p.a. of cost synergies, significant cross-selling potential, and the opportunity to rejuvenate the LogiCamms business after a period of underperformance.

Cavendish advised the shareholders of MCS, a Sydney-based logistics company, on the sale of MCS to Qube Holdings.

Founded in 1973, MCS had grown under the leadership of founder Grahame Wright to become a leading provider of full and empty container storage, road and rail transport, and related logistics services from its intermodal terminal in Cook's River, Sydney.

The acquisition provides Qube with a larger site with a rail terminal and empty container park operations to replace the Sydney Haulage site and improve efficiency.

Cavendish advised on the sale of a stake in an Australian port.
